1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of mrjttaylor.com, the personal site of JT Taylor MS, MBA, and everything offered through it (the "Services"). The Services are operated by NOC, LLC ("we", "us"). Mailing address: 453 S Spring St Ste 400, Los Angeles, CA 90013, United States.
By using any part of the Services you confirm that you are at least 18 years old, have read and understood these Terms, and have the authority to agree to them. If you use the Services for a business, you confirm you can bind that business.
We may change these Terms. Material changes are posted on this page with a new date at least 14 days before they take effect. Where you tick a box to accept these Terms, for example on a form, you are bound from the moment you tick it, and we keep a record of which version you accepted and when.
2. The Services
The Services include: the writing, videos and books on this site; The Operator Reacts, the podcast, and its guest application; the newsletter; and the contact, speaking and press forms.
Nothing is sold on this site. Business services and the business assessment are offered by Notebook of a COO, under its own Terms of Service.
3. Eligibility and Accuracy
You must be at least 18 years old to use the Services. When you send us a form, apply to be a guest or join the list, you agree to give accurate information.
4. Podcast Guests
Applying to be a guest on The Operator Reacts does not guarantee an appearance. We read every application and answer every one.
If you record with us, you grant NOC, LLC and JT Taylor MS, MBA a worldwide, royalty free, perpetual license to record, edit, publish, distribute and promote the episode and clips from it in any medium, and to use your name, likeness, voice, biography and business name in connection with the episode and its promotion. You keep the rights to your own business, products and ideas.
You confirm that what you say is yours to say, and that you will not disclose anyone else's confidential information or make statements you know to be false. Appearing is free: you never pay to appear, and we do not pay guests. Clips we send you are yours to use to promote your appearance.
5. Emails and the Newsletter
When you send a form we email you about it. If you join the list, we send the newsletter and occasional follow ups. Every marketing email has an unsubscribe link, and unsubscribing takes effect straight away. Emails about an application or an inquiry you made may still be sent after you unsubscribe from marketing.
6. Confidentiality
What you send us through a form, including a guest application, is kept confidential and used only to answer you and run the Services, except where the law requires disclosure. What you say on a recorded episode is published, as section 4 describes.
7. Other Sites
The site links to other sites, including Notebook of a COO, YouTube, Spotify and social platforms. They are governed by their own terms. The assessment and services on Notebook of a COO are covered by its own Terms of Service once you are there.
8. Intellectual Property
Everything on this site, including the writing, the books, the videos, the podcast, the design and the names, belongs to NOC, LLC or JT Taylor MS, MBA, or is used with permission. You may share links and short quotes with credit. You may not copy, republish or sell the content without written permission.
9. Acceptable Use
You agree not to break the law through the Services, impersonate anyone, send spam or malicious code, attempt to get into systems you are not authorized to use, scrape the site at a volume that harms it, or use the forms to harass anyone.
10. No Professional Advice
The Services provide general education and operational frameworks. Nothing on the site or in the podcast is legal, tax, accounting, financial or investment advice. Take advice from a qualified professional for your own situation.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT, TO THE FULLEST EXTENT THE LAW ALLOWS. WE DO NOT PROMISE THE SITE WILL BE UNINTERRUPTED OR ERROR FREE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT THE LAW ALLOWS, NOC, LLC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES AND LICENSORS, AND JT TAYLOR MS, MBA INDIVIDUALLY, ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO WHAT YOU PAID US FOR THE SERVICE THE CLAIM IS ABOUT IN THE 12 MONTHS BEFORE THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless NOC, LLC, JT Taylor MS, MBA, and their officers, employees, contractors, agents, affiliates and licensors from any claim, loss or expense, including reasonable legal fees, arising from your use of the Services, your breach of these Terms, or anything you say or supply as a guest.
14. No Guaranteed Results
Everything we publish, teach or record is education. It is not a promise of income, growth, profit, savings, valuation or any other outcome. Any figure, example or client story describes what happened in that case and is not a prediction of yours.
15. Your Work, Your Decisions, Your Risk
You are the operator of your business. Every decision you make after reading, watching or listening through the Services is yours, and so are its results. The work of running your business is yours to do.
16. Release and Hold Harmless
To the fullest extent the law allows, you release NOC, LLC, JT Taylor MS, MBA, and each of their owners, officers, employees, contractors, agents and affiliates from claims arising from decisions you make based on the Services, except for claims that cannot be released by law, including fraud or willful misconduct.
17. Termination
We may suspend or end your access to any part of the Services if you break these Terms. The sections that by their nature should survive, including 8 and 11 through 18, survive.
18. Governing Law and Disputes
18.1 Governing Law
These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law rules.
18.2 Informal Resolution
Before starting a formal dispute, you agree to contact us through the contact form and try to resolve it informally for at least 30 days.
18.3 Binding Arbitration
If informal resolution fails, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Maricopa County, Arizona, or remotely where the rules allow.
18.4 Class Action Waiver
You waive any right to bring or take part in a class action, class arbitration or representative action.
19. General
These Terms and the Privacy Policy are the whole agreement between you and us about the Services. If any part is unenforceable, the rest still applies. Not enforcing a term is not a waiver of it.
